Head of Legal

Our client is listed on the Stockholm First North NASDAQ and is a fast-growing technology provider to the online casino industry. Their technology is supplied globally, with strong distribution across Europe, North America, LATAM and Asia. The business is part of an international group and is now quickly scaling up their European operations and has major ambitions for growth and expansion.

Role

We are seeking an experienced and highly skilled Head of Legal with a strong background in Swedish corporate law and stock market regulations to join our client’s team.

As the Head of Legal, you will lead a team of three and oversee all legal and compliance functions for the company. Reporting to the CFO, you will serve as a strategic advisor to the executive team and board, ensuring the company operates within the legal frameworks of the jurisdictions it serves. You will also play a critical role in compliance with Nasdaq regulations, MAR, AML, GDPR, gaming license requirements, and industry-specific standards, while overseeing capital raising efforts, M&A transactions, and other corporate activities.

Legal Strategy and Leadership

• Develop and implement the company’s global legal strategy in alignment with business goals.
• Provide legal guidance to the board, executives, and management teams on corporate governance, risk management, and regulatory compliance.

Regulatory Compliance

• Ensure compliance with Swedish Nasdaq listing requirements and securities laws.
• Monitor and enforce adherence to Market Abuse Regulation (MAR), Anti-Money Laundering (AML) regulations, and General Data Protection Regulation (GDPR).
• Oversee compliance with gaming license obligations in multiple jurisdictions, ensuring the company adheres to all regulatory and operational requirements.

Capital Raising and Corporate Transactions

• Advise on capital raising activities, including equity, debt offerings, and private placements.
• Oversee the legal aspects of corporate transactions, including mergers and acquisitions (M&A), joint ventures, and restructuring efforts.
• Draft, review, and negotiate transaction documents, ensuring compliance with applicable laws and regulations.

Gaming License Management

• Lead and manage the application, renewal, and maintenance of gaming licenses in existing and new markets.
• Establish internal policies and processes to ensure ongoing compliance with jurisdictional gaming regulations.
• Serve as the primary point of contact with regulatory authorities regarding licensing and compliance matters.

Litigation and Dispute Resolution

• Manage disputes, litigation, and arbitration processes.
• Collaborate with external counsel as needed to resolve complex legal challenges.
• Provide proactive guidance to mitigate potential disputes and legal risks.

Contract Management

• Oversee drafting, negotiation, and management of contracts with partners, clients, and suppliers.
• Ensure contracts align with legal, financial, and business goals.

Corporate Governance

• Manage board and shareholder meeting documentation, ensuring compliance with corporate governance standards.
• Provide legal support and advice to the board of directors and executive leadership.

Risk Management

• Proactively identify, assess, and mitigate legal, regulatory, and reputational risks.
• Establish frameworks for managing compliance with GDPR, MAR, AML, gaming licenses, and other legal requirements.

Team Leadership

• Lead and grow an internal legal team or manage external counsel relationships.

Requirements

• Education: LL.M. or JD from an accredited law school; Swedish or EU legal qualifications preferred.
• Experience: Minimum 10 years of legal experience, with 5+ years in a senior legal role.
• Experience in the gambling, gaming, or technology sector is highly desirable.
• Strong understanding of Swedish Nasdaq rules, Swedish Companies Registration Office (Bolagsverket) rules, Market Abuse Regulation (MAR), Anti-Money Laundering (AML), General Data Protection Regulation (GDPR), capital raising, and M&A transactions.
• Expertise in regulatory compliance, corporate governance, gaming license application, litigation, and commercial law.
• Skills: Exceptional leadership and stakeholder management skills.
• Proven ability to navigate complex regulatory environments.
• Strong negotiation, drafting, problem-solving, and dispute resolution skills.
• Demonstrated experience managing capital raising and corporate transactions.
